US-based data science company Datavault AI has signed a definitive agreement to acquire all outstanding shares of CyberCatch in an all-cash transaction valued at $94.5m.

The latest agreement replaces an earlier all-stock proposal from May 2026 binding letter of intent, which originally intended to issue 49.9 million Datavault shares.

It will see Datavault AI pay $3.53 per share for approximately 26.8 million common shares of CyberCatch.

The deal is structured as a court-approved plan of arrangement under the Business Corporations Act (British Columbia) and remains subject to customary board, stock exchange, regulatory, and shareholder approvals.

CyberCatch, a US-based cybersecurity company, provides an AI-enabled, patented platform designed for continuous compliance and cyber risk mitigation.

Following the completion of the acquisition, CyberCatch will operate as a subsidiary of Datavault AI from its current base in San Diego, California.

Sai Huda, founder, chairman, and CEO of CyberCatch, is set to lead the subsidiary as its president, reporting directly to Datavault AI CEO Nathaniel T. Bradley.

The acquisition is expected to enable Datavault AI to incorporate CyberCatch’s cybersecurity solutions into its Quantum Private Network GPU ecosystem. These solutions include the multi-authority, attribute-based encryption with revocation (MARS-MABE) technology, which is being upgraded to support quantum resistance.

According to Datavault AI, these capabilities aim to address demands in the global information security market, which market research firm Gartner previously projected would reach $213bn in 2025.

The companies highlighted plans to integrate CyberCatch’s AI-powered platform, offering automated cybersecurity checks and resolution features, with Datavault AI’s Data Vault Artificial Intelligence Platform (AIP) and other technology offerings.

Ongoing compliance and cyber risk mitigation are becoming increasingly important across sectors such as defence, healthcare, manufacturing, financial services, and education, the core client base of CyberCatch.

The board and advisory group at CyberCatch includes individuals with backgrounds in cybersecurity, government, and defence, such as Tom Ridge, Dr Marv Langston, and Scott Tait.
