Proofpoint, a cybersecurity company owned by private equity firm Thoma Bravo, is in discussions to acquire Varonis, reported Reuters, citing a source familiar with the matter.
Shares in the Nasdaq-listed Varonis, which has a current market capitalisation of approximately $5bn, closed more than 10% higher following the news.

The company, based in Miami, provides cybersecurity services such as data classification for cloud storage systems and employee behaviour tracking. It has a workforce of over 2,400 people across 14 offices worldwide.
In June, reports that Varonis was considering a sale after receiving private equity interest drove its shares up by roughly 30%.
A potential deal between Proofpoint and Varonis would bring together two companies operating in data security.
Proofpoint’s products are focused on helping companies defend against cyberattacks.
Varonis offers a range of security and governance technologies, including products for AI-native data security and protection against AI-powered threats.
Thoma Bravo acquired Proofpoint in 2021 for about $12.3bn in a take-private transaction.
A combination of Proofpoint and Varonis is seen as potentially strengthening the former’s capabilities in securing confidential corporate information and overseeing access to it.
Last month, Proofpoint announced the launch of its OEM Program, designed to enable technology providers and cybersecurity vendors to integrate its threat intelligence and detection tools into their own offerings.
Proofpoint stated that the programme aims to reduce the time, cost, and operational complexity involved in building and maintaining large-scale threat intelligence capabilities internally.
In February 2026, Proofpoint and Concentrix formed a partnership to deliver cybersecurity services throughout the Asia Pacific region.
As part of the agreement, Concentrix will integrate Proofpoint’s security solutions into its Security Operations Centre services, with the goal of helping organisations protect their staff, data, and digital communications.
The partnership brings together Proofpoint’s security platform and Concentrix’s regional operations and managed service expertise.
